Terms of Service

By submitting payment to Vx Digital, LLC (“we,” “us,” or “our”), you (“Client”) agree to the following Terms of Service:

1. Scope of Services

Payment reflects acceptance of services and deliverables as outlined in prior proposals, communications, or invoices. Any work outside this scope may incur additional charges.

2. Payment Terms

All payments are due as specified in your invoice. Late payments may result in service suspension and will accrue interest at 1% per month (12% annually). You are responsible for all collection costs, including legal fees.

3. Refund Policy

Unless otherwise stated, all deposits are non-refundable. If a project is terminated early, any unbilled or remaining work may be subject to a final invoice based on work completed.

4. Intellectual Property

Upon full payment, you own the final deliverables created for you. We retain ownership of underlying tools, templates, methods, and proprietary assets used in delivery. Third-party licensed content (e.g., stock images, plugins) remains under its original license.

5. Client Responsibilities

You agree to provide timely feedback, approvals, and any assets required for your project. Delays in response may delay delivery timelines. Projects delayed beyond 45 days without communication may be suspended and subject to final billing.

6. Service Suspension

We reserve the right to suspend or terminate services for non-payment, client inactivity, or breach of terms. Services may also be refused or discontinued at our discretion.

7. Limitation of Liability

We make no guarantees of specific results. Our liability for any claim arising from services provided shall not exceed the total amount paid by you in the past six months.

8. Indemnification

You agree to indemnify and hold harmless Vx Digital, LLC from any claims, damages, or liabilities arising from your use of the services, including use of content you provided.

9. Governing Law

These terms are governed by the laws of the State of Arizona. Any disputes shall be resolved first by mediation in Maricopa County, AZ. If unresolved, parties may pursue resolution in a court located in the same jurisdiction.

10. Modifications

We may update these Terms of Service at any time. Your continued use of services or future payments constitutes agreement to the latest terms.
